General Terms and Conditions (T&C)
§ 1 Scope and Contracting Parties
(1) These General Terms and Conditions (T&C) apply to all contracts between Markus Springer, c/o Postflex #12345, Emsdettener Straße 10, 48268 Greven, Deutschland (hereinafter the "Provider") and consumers (hereinafter "Users") who use the service offered at thermify.ai as well as via the Thermify app for iOS and Android (hereinafter the "Service").
(2) A consumer within the meaning of these T&C is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession (§ 13 of the German Civil Code, BGB). The Service is directed exclusively at consumers resident in the European Union.
(3) Deviating, conflicting or supplementary general terms and conditions of the User shall only become part of the contract if and to the extent that the Provider has expressly agreed to their application in writing.
§ 2 Description of Services
(1) The Provider makes available a web-based service for the automated conversion of recipes into the Thermomix® format. The scope of services includes in particular:
- Extraction of recipes from photos, texts or URLs uploaded by the User
- AI-assisted conversion of recipes into a format suitable for the Thermomix® TM6/TM7
- Generation of a shareable Cookidoo® link via the Cookidoo® interface of Vorwerk International AG
- Generation of an AI-generated illustration image
- Management of one's own converted recipes in a personal area
(2) The Service expressly does not constitute an offering of the Vorwerk group. There is no commercial, licensing or corporate connection between the Provider and the Vorwerk group.
(3) The Provider is entitled to further develop, adapt and expand the range of functions of the Service, provided that this is reasonable for the User and the main purpose of the contract - the conversion of recipes into the Thermomix® format - is preserved.
§ 3 Conclusion of Contract
(1) The presentation of the Service on the website and in the apps does not constitute a legally binding offer, but rather a non-binding invitation to the User to submit an offer (invitatio ad offerendum).
(2) By registering via Google, Apple or e-mail authentication, the User submits an offer to conclude a free usage contract under the "Free" plan. The contract is concluded upon confirmation of the registration by the Provider.
(3) For the paid "Plus" plan as well as for the top-up, the User submits their offer by confirming the payment process via the checkout page of the payment service provider Stripe. The contract is concluded upon confirmation of payment by Stripe and the corresponding notification to the Provider. The User receives a payment confirmation via Stripe; the Provider stores the contract data and makes it available in the personal area.
(4) The contract language is German. The contract text is not stored by the Provider in a form that is permanently accessible to the User; these T&C can be accessed at any time via the website.
§ 4 Plans, Prices and Payment Terms
(1) The Service is offered in the following plan variants:
- Free: 3 recipe conversions, one-time and free of charge for trying out the Service (5 when registering via an invitation link). No credit card is required. There is no recurring monthly free quota; once the free conversions have been used up, a paid plan or a top-up is required.
- Plus: 10 recipe conversions per billing period for EUR 3.99 per month or EUR 39.00 per year. Billing is handled via Stripe Billing in advance at the beginning of each billing period.
- Pro: 30 recipe conversions per billing period for EUR 6.99 per month or EUR 69.00 per year. Billing is handled via Stripe Billing in advance at the beginning of each billing period.
- Top-up: A one-time 5 additional recipe conversions for EUR 2.49. The additional conversions are valid only within the current billing period and expire at its end.
Users who concluded a Plus subscription before the plan change retain their original terms (30 recipe conversions per billing period at EUR 3.99 monthly or EUR 29.00 annually) for as long as the existing subscription is not cancelled or interrupted. Upon cancellation and renewed subscription, only the current plans listed above shall apply.
(2) All prices are final prices. Pursuant to § 19 of the German VAT Act (UStG), no value added tax is charged or shown (small business regulation).
(3) Each successful recipe conversion consumes one unit from the current monthly quota or the top-up quota. If a conversion fails for reasons for which the Provider is responsible (errors in processing, unavailability of the AI models or the Cookidoo® interface), the previously reserved consumption is automatically reversed.
(4) Payments are processed via Stripe Payments Europe Limited, 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland. The Stripe consumer termsapply in addition. The Provider itself does not store any complete credit card or bank details.
(5) The Provider reserves the right to adjust prices. Price adjustments will be communicated to Users in text form at least 30 days before they take effect; within this period the User is entitled to extraordinarily terminate the subscription with effect from the date the change takes effect.
§ 5 Contract Term, Renewal and Termination
(1) The "Free" plan has no fixed term. It ends as soon as the User deletes their account or shows no activity for twelve months.
(2) The "Plus" plan is concluded either as a monthly or annual subscription. After expiry of the respective initial term, the subscription automatically renews for a further month unless it is cancelled beforehand (§ 309 No. 9 BGB, German Fair Consumer Contracts Act). The User may cancel the subscription at any time with effect from the end of the current billing period.
(3) Cancellation may be made at any time without giving reasons via:
- the cancellation button in the customer area ("Cancel subscription", § 312k BGB),
- the Stripe customer portal, accessible via the profile page,
- an informal declaration by e-mail to info@thermify.ai.
(4) Fees already paid for a billing period that has commenced are not refunded on a pro rata basis. Access to the Plus features remains in place until the end of the paid period.
(5) The right of both parties to extraordinary termination for good cause remains unaffected. Good cause exists for the Provider in particular in the event of serious misuse of the Service, breaches of § 8 or overdue payments.
§ 6 Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal. The full withdrawal instructions and the model withdrawal form are available at thermify.ai/widerruf .
Premature expiry of the right of withdrawal: For contracts on the supply of digital content (Plus subscription, top-up), the right of withdrawal expires prematurely if the Provider has begun performance of the contract after the User (a) has expressly consented to performance of the contract beginning before the end of the withdrawal period, and (b) has confirmed their awareness that, by giving such consent, their right of withdrawal expires upon commencement of performance of the contract (§ 356 (5) BGB). This consent is given during the checkout process by expressly confirming the corresponding checkbox.
§ 7 Remedies for Defects and Warranty
(1) The Provider owes the provision of the Service in a usable form corresponding to the current state of the art. Remedies for defects are governed by the statutory provisions (§§ 327 et seq. BGB for digital products).
(2) In particular, Users are entitled to subsequent performance, termination of the contract and - where the statutory requirements are met - to damages if the Service does not correspond to the contractually agreed quality.
(3) Recognizable errors in a specific generated recipe (cf. § 9) do not constitute a material defect of the Service as a whole, but merely a claim to a renewed, free-of-charge conversion. The User is asked to report such incidents by e-mail.
§ 8 Obligations of the User
(1) The User undertakes not to misuse the Service. In particular, the User may not:
- upload content that violates applicable law or the rights of third parties (in particular copyright, trademark or personality rights);
- use the Service to generate dangerous, health-endangering or ethically problematic content;
- use automated scripts or bots that generate requests beyond the usual human usage frequency;
- circumvent security mechanisms or attempt to intrude into the system;
- pass on their access credentials to third parties.
(2) In the event of a breach of the foregoing obligations, the Provider is entitled to temporarily suspend or permanently block the account. The User will be informed of the reason before the suspension, insofar as this is reasonable for the Provider.
§ 9 AI-Generated Content and the User's Duty to Verify
(1) The recipe texts, images, quantity and appliance settings generated by the Service are created using generative artificial intelligence. Despite multi-stage automated validation, this information may contain errors, in particular regarding quantities, temperatures, cooking times, speed settings and appliance capacity limits.
The User is obliged to carefully check all AI-generated information before cooking. The Provider is not liable for damages arising from the unchecked adoption of AI-generated information, subject to the provisions of § 10.
(3) The images displayed for recipes are AI-generated illustrations and do not represent photographs of the actually prepared dish.
§ 10 Liability
(1) The Provider is liable without limitation for damages arising from injury to life, body or health as well as for damages based on intentional or grossly negligent conduct. Furthermore, the Provider is liable within the scope of an assumed guarantee as well as under the provisions of the German Product Liability Act.
(2) In the case of simple negligence, the Provider - subject to paragraph 1 - is liable only for the breach of an essential contractual obligation (cardinal obligation), the fulfilment of which is what makes the proper performance of the contract possible in the first place and on whose observance the User may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract.
(3) The foregoing limitation of liability does not apply to claims under the General Data Protection Regulation (Art. 82 GDPR).
§ 11 Protection of Content and Rights of Use
(1) For the content uploaded by the User (original recipes, photos), the User grants the Provider a non-exclusive, worldwide right, limited in time to the duration of the contract, to process such content within the scope of the Service. Any use beyond this - in particular for training purposes - does not take place without separate consent.
(2) The User may use the recipes and images generated by the Service without restriction for private, non-commercial purposes. Commercial use (e.g. resale, publication in print or online media for a fee) requires a separate written agreement.
§ 12 Availability
The Provider endeavors to achieve the highest possible availability of the Service, but cannot guarantee uninterrupted accessibility. Maintenance windows, updates and outages of external services (Cookidoo®, Stripe, AI providers) may lead to temporary restrictions. Planned maintenance will, where reasonable, be announced in advance.
§ 13 Amendments to the T&C
(1) The Provider is entitled to amend these T&C insofar as this is necessary for legal, technical or regulatory reasons and the amendment does not unreasonably disadvantage the User.
(2) Planned amendments will be communicated to the User in text form (e-mail) at least six weeks before they take effect. If the User does not object within this period, the amendments are deemed accepted; this legal consequence will be pointed out separately in the amendment notice. In the event of a timely objection, each contracting party is entitled to extraordinarily terminate the subscription with effect from the date the amendment takes effect.
§ 14 Dispute Resolution
(1) The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr/.
(2) The Provider is neither willing nor obliged to participate in a dispute resolution procedure before a consumer arbitration board.
§ 15 Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence (Art. 6 (2) Rome I Regulation).
(2) Should individual provisions of these T&C be or become invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall take the place of the invalid provision.
